Affiliate Terms

These Affiliate Terms (the "Agreement") are a contract between you ("Affiliate", "you") and Oxyforge ("we", "us"). They govern your participation in the Oxyforge Affiliate Programme (the "Programme") and sit alongside our Terms of Use and Privacy Policy.

By applying to or participating in the Programme you accept this Agreement. Your participation exists for one purpose: to promote Oxyforge lawfully in return for a commission on qualifying accounts you refer through your affiliate link.

1. Definitions

• "Affiliate Link" means a link to oxyforge.com carrying your Affiliate Code, for example https://oxyforge.com/?r=K7M2P9QX.
• "Affiliate Code" means the unique code we assign to you on approval.
• "Referred Account" means an Oxyforge account attributed to you under Section 3.
• "Qualifying Payment" means a paid invoice for an annual or monthly hosting plan on a Referred Account, settled through our payment provider within the Commission Year. Overage charges, add-ons and any other charges are not Qualifying Payments.
• "Commission Year" means the 12 months from a Referred Account's first paid hosting plan invoice.
• "Commission" means the fixed amount in US dollars you may earn on a Qualifying Payment, as set out in Section 4.
• "Holding Period" means the 45 days described in Section 6, after which a Commission becomes payable.
• "Programme Policies" means any rules, guidelines or answers we publish for the Programme from time to time, which form part of this Agreement.

2. Eligibility, Enrolment And Relationship

The Programme is open to individuals and businesses in any country to which Wise can send money, other than places and people subject to sanctions that bind us or Wise. You must be at least 18 years old. We may ask for evidence of identity or residence before a payout.

For a limited time, applications are approved automatically; otherwise they are reviewed by hand. Either way, we may approve, reject, suspend or remove any Affiliate at any time and for any reason, and you have no claim against us for such a decision. Your continued participation depends on your full compliance with this Agreement and the Programme Policies.

You are an independent contractor. You are not our agent, employee or representative, you have no authority to make commitments on our behalf, and you are not entitled to any employee benefits. You are responsible for your own taxes and expenses, and for the conduct of anyone acting on your behalf; a breach by them is a breach by you.

3. Referrals And Attribution

• Your Affiliate Link sets a first-party cookie on oxyforge.com that holds your Affiliate Code for 30 days. The last link clicked wins.
• If a visitor creates an Oxyforge account while that cookie is present, the account is attributed to you at the moment it is created.
• Attribution is fixed at account creation. An existing account cannot be claimed by clicking a link later, and attribution cannot be moved between Affiliates.
• We are not responsible for attribution lost to cleared cookies, private browsing, blockers, a wrongly formed link, or a customer who chooses not to use your link.
• Attribution is determined from our records, and our determination is final.

4. Commission

Commissions are fixed amounts in US dollars, the same in every country. For each Referred Account you earn on its Qualifying Payments during its Commission Year, by the plan paid for:

• Annual plans earn the annual amount once, on the first annual payment in the Commission Year. No later annual payment on that account earns a Commission: not a renewal, not an upgrade to a higher plan, and not a new annual payment after a refund or cancellation.
• Monthly plans earn the monthly amount on each monthly payment in the Commission Year, up to twelve.
• Switching plans. If a Referred Account moves from monthly to annual during its Commission Year, the annual payment earns the annual amount less the monthly Commissions already earned on that account. No account earns both in full.
• One year per account. Payments after the Commission Year, overages, add-ons and later purchases do not earn Commission. The Commission Year runs once and does not restart if the account cancels and re-subscribes.
• What does not qualify. Free accounts, temporary websites, trials, accounts that never pay for a plan, and any charge that is not a hosting plan.
• Changes. We may change the amounts for future Referred Accounts at any time, including time-limited promotional amounts. A change does not reduce a Commission already created.
• Our discretion. We decide whether a payment qualifies. If we have concerns about a transaction we may pause, withhold or reverse a Commission while we look into it.

5. Payouts

• A Commission becomes payable when it clears the Holding Period in Section 6.
• Payable Commissions are paid once a month by Wise, once your payable balance reaches USD 200, to the Wise account on your affiliate page in the members area, in any currency Wise supports. We pay to Wise accounts only; opening one is free. A smaller balance carries over to the following month.
• Commissions are earned in US dollars. If you ask to be paid in another currency, Wise converts at its rate on the day of the transfer, and the amount you receive in that currency may vary.
• You must keep accurate payout details on your affiliate page. If we cannot pay you because the details are missing or wrong, the Commission is held until they are corrected. A Commission unpaid for twelve months for that reason is forfeited.
• You are responsible for any tax on Commissions you earn. We do not withhold tax unless the law requires it.
• Wise's fee for the transfer is ours. Any charge for moving the money out of your Wise account is yours.

6. Holding Period, Refunds And Clawbacks

• Holding Period. Every Commission is held for 45 days from the Qualifying Payment that earned it. If, at the end of the 45 days, the Referred Account's subscription is active and that payment has not been refunded, charged back or disputed, the Commission becomes payable.
• Void inside the hold. If the subscription is cancelled, suspended for non-payment, refunded, charged back, disputed, or found to be fraudulent or in breach of this Agreement within the Holding Period, the Commission is void and is not paid.
• Deducted after payout. If a Commission has been paid and the Qualifying Payment that earned it is later refunded, charged back, disputed or found fraudulent, that Commission is treated as unearned and may be deducted from future Commissions or, where none follow, recovered from you. A refund of a different payment does not affect a Commission that has cleared its Holding Period.
• We may withhold, reverse or deduct any Commission connected with a breach of this Agreement.

7. Your Obligations

You agree to follow this Agreement, the Programme Policies and all applicable law. In particular:

• You have the authority to enter into this Agreement.
• You will disclose your affiliate relationship clearly wherever you promote Oxyforge, under the rules where your audience is: for example the FTC Endorsement Guides in the United States, the CAP Code in the United Kingdom, or the Singapore Code of Advertising Practice.
• You will comply with the anti-spam, privacy and marketing laws that apply to you and your audience (for example CAN-SPAM, the GDPR, or the Spam Control Act and the Personal Data Protection Act of Singapore): no unsolicited bulk messages, accurate sender details, and a working unsubscribe.
• You will not present yourself as our employee, agent or representative, or misstate your relationship with us.
• You will handle any customer or prospect data you come across through the Programme lawfully and only as we permit.
• You are responsible for anyone acting on your behalf.

A breach of this Section is a material breach of this Agreement.

8. Prohibited Promotion

You may promote Oxyforge with links and text on your website, social channels, videos, newsletters and direct recommendations, using material we provide or your own material that complies with this Agreement. Any of the following may lead to suspension or termination and to Commissions being withheld or reversed:

• Spam of any kind, including unsolicited bulk email, comment or forum spam, and mass messaging.
• Misleading or false advertising, including false claims about Oxyforge, misleading links, invented performance figures, or unsupported earnings claims.
• Paid search on our name. Bidding on "Oxyforge" or "oxyforge", or misspellings and variations of it, in any ad network. Any pay-per-click promotion needs our written permission first.
• Coupon and deal abuse. Promoting discounts we have not issued to you, implying a deal exists when it does not, or running "Oxyforge coupon" pages or domains.
• Cookie stuffing. Setting the referral cookie without a clear, deliberate click on your link, including through pop-ups, pop-unders, frames, forced clicks or hidden actions.
• Incentivised sign-ups. Offering rebates, kickbacks or a share of your Commission in return for signing up.
• Self-referrals and fraud. Referring yourself, accounts you own or control, accounts that share your payment method, accounts created to claim your own Commission, and any manipulated transaction. Accounts you create for a client who pays with their own card are allowed.
• Harmful placement. Promoting Oxyforge on or through sites with illegal content or content that would harm our reputation.
• Misuse of our marks outside the permission in Section 9.

9. Intellectual Property

We grant you a non-exclusive, non-transferable, revocable permission to use the Oxyforge name and logo solely to promote Oxyforge under this Agreement. You agree to follow any brand guidance we give, not to alter our marks, not to register domains or social handles confusingly similar to Oxyforge, and to stop using the marks when we ask. All goodwill from your use of the marks belongs to us, and misuse ends this permission automatically.

10. Confidentiality

Through the Programme you may receive non-public business, technical, financial or customer information from us. You may use it only to take part in the Programme and must not disclose it unless the law requires. This does not cover information that is public through no fault of yours, that you already knew, that you receive lawfully from someone free to share it, or that you develop independently. When this Agreement ends you must stop using and delete any such information. This Section survives termination.

11. Termination

This Agreement starts when you are approved and continues until ended. Either of us may end it at any time. We may also suspend or end your participation immediately for a breach of this Agreement or for conduct that, in our judgement, harms Oxyforge or its customers.

If we end it for a breach, you forfeit all unpaid Commissions. If you end it, or we end it without cause, Commissions that are already payable are paid on the normal monthly schedule once they reach the payout minimum, and Commissions still inside the Holding Period are paid if they clear it. On termination you must stop using your Affiliate Link and our marks.

12. Limitation Of Liability

We are not liable for indirect, incidental or consequential loss, including lost revenue or lost Commissions, arising from tracking failures, interruptions, errors or changes to the Programme. The Programme is provided as is, without warranty of any kind. Our total liability to you under this Agreement is limited to the Commissions paid to you in the three months before the claim arose.

13. Indemnity

You will indemnify Oxyforge and its officers, employees and agents against all claims, losses, fines and costs, including reasonable legal fees, arising from your promotional activity, your breach of this Agreement, your breach of any law including advertising, spam and data protection law, any misrepresentation or failure to disclose, or your negligence or misconduct.

14. Changes To This Agreement

We may change this Agreement or the Programme Policies at any time. We will make reasonable efforts to tell you about material changes, by email to the address on your affiliate page. If a change is not acceptable to you, your remedy is to stop participating. Continuing after a change is acceptance of it.

15. Governing Law And Disputes

This Agreement is governed by the laws of Malaysia and, where relevant, the applicable provisions of the law of the Republic of Singapore, in line with our Terms of Use. The courts of Malaysia have exclusive jurisdiction over any dispute arising from it. In proceedings to enforce this Agreement the successful party may recover its reasonable costs and legal fees.

16. General

• Non-exclusive. You may promote other products, and we may work with other affiliates and partners.
• Force majeure. Neither of us is liable for a failure caused by events outside our reasonable control, including failures of third-party providers such as our payment provider or Wise.
• Entire agreement. This Agreement and the Programme Policies are the whole agreement between us about the Programme and replace any earlier understanding.
• Severability. If any provision is unenforceable, the rest stands.
• Assignment. You may not assign this Agreement without our written consent. We may assign it freely.
• Waiver. Not enforcing a provision is not a waiver of it.
• Survival. Sections 6, 9, 10, 12, 13 and 15 survive termination.
• Language. This Agreement is written in English, and the English text governs.

17. Electronic Acceptance

This Agreement is an electronic contract. Ticking the acceptance box on the application form, or taking part in the Programme, is your acceptance of it with the same force as a signature.
